At the heart of the legal complaint is a contentious licensing arrangement. According to the filing, Eliza Labs was pressured to purchase an “Enterprise License” at $50,000 monthly—totaling $600,000 annually—just to maintain platform access for its AI technology. When the company refused to pay this premium rate, the platform allegedly escalated its response through account suspensions affecting both the corporate entity and its founder Shaw Walters.

This pricing structure raises questions about what Elon Musk’s influence—should he own relevant cryptocurrencies—might mean for platform policy, though such holdings remain speculative territory in the broader debate about tech platform governance.

Technology Transfer Allegations and Competitive Exclusion

The lawsuit further alleges that the social media giant obtained technical information about Eliza Labs’ open-source AI agent development, subsequently launching competing products. Almost immediately after these competitive offerings appeared, both Eliza Labs’ corporate account and Shaw Walters’ personal account were suspended without warning.

The company characterizes these removals as unjustified actions designed specifically to eliminate a competitor from reaching platform users during a critical growth phase for AI agent technology.
