The initiative addresses the founders' low equity stakes—Dario currently holds approximately 2% of the company. High-voting shares enable founders to exercise greater voting control with fewer shares, reducing pressure from external shareholders post-listing.
Anthropically has an additional governance mechanism: a Long-Term Beneficial Trust, an independent entity that holds special Class T shares granting it the ability to elect a majority of board directors. As confirmed in April this year, trust-appointed directors already constitute a board majority, effectively dual-layering control between high-voting shares and board governance.
